The specific scope, timeline, deliverables, and fees for any project will be governed by a separate contract, Service Level Agreement (SLA), or Statement of Work (SOW). If there is a conflict between these Terms and a signed SLA/SOW, the signed SLA/SOW will take precedence.
 
2. Client Account & Responsibilities
  • Account Accuracy: You agree to provide accurate, current, and complete information when reaching out to us or creating an account.
  • Cooperation: To deliver effective publicity and digital solutions, we rely on your timely feedback, approvals, and provision of required brand assets. Delays on the client’s part may impact project deadlines.
  • Lawful Use: You agree not to use our website or Services for any unlawful purpose or in a way that infringes upon the rights of others.
3. Intellectual Property (IP) Rights
  • Our Property: All contents on our website—including logos, text, graphics, designs, and code—are the intellectual property of JoshteamTech Publicity and Digital Ltd and are protected by copyright and trademark laws.
  • Client Materials: You retain all rights to any materials, images, trademarks, or content you provide to us for your projects. You guarantee that you own or have the permission to use these materials.
  • Project Deliverables: Unless explicitly agreed otherwise in a signed contract, ownership of custom creative deliverables (like graphics, campaign assets, or software) transfers to the client only upon full payment of all outstanding invoices.
4. Fees, Billing, and Payments
  • Payment Terms: Fees for our Services will be outlined in your specific invoice or SOW.
  • Late Payments: We reserve the right to suspend active digital campaigns, website hosting, or ongoing tech development if payments are overdue.
  • Refunds: Due to the customized nature of publicity, marketing, and digital development services, all payments made to JoshteamTech Publicity and Digital Ltd are non-refundable unless specified otherwise in writing.
5. Confidentiality
Both parties agree to keep all sensitive business information, campaign strategies, technical architecture, and proprietary data strictly confidential during and after the period of engagement.
 
6. Limitation of Liability
To the maximum extent permitted by law, JoshteamTech Publicity and Digital Ltd, its directors, employees, or partners shall not be liable for any indirect, incidental, or consequential damages. This includes, but is not limited to, loss of profits, data, or business interruption resulting from the use or inability to use our Services, or fluctuations in third-party digital ad platform algorithms (e.g., Google, Meta, TikTok).
 
7. Termination
  • By You: You may stop using our website at any time. Contracted services must be terminated according to the guidelines specified in your signed SLA.
  • By Us: We reserve the right to terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
 
9. Changes to These Terms
We reserve the right to update or modify these Terms of Service at any time. We will notify you of any changes by updating the “Effective Date” at the top of this page. Your continued engagement with our Services constitutes acceptance of the revised Terms.
